We advised Medicum Valduse OÜ on the sale of a majority stake in companies operating in the fields of specialist medical care, rehabilitation, dental care and home nursing within the Medicum Group. The acquirer in the transaction is Livonia Partners, a private equity investment company operating in the Baltic States. The group will continue with its current management team, and Medicum’s current majority shareholder, Dr Jaanus Vool, will remain the owner of Medicum Perearstikeskus. The transaction will become effective upon approval by the Competition Authority.
Medicum is one of Estonia’s largest healthcare groups providing general and specialist medical care outside hospitals, operating in Tallinn, Harju County and Tartu, with a total of five locations. In addition to general and specialist medical care, Medicum offers rehabilitation, dental care and home nursing services. Following the completion of the transaction, the Medicum group, which has 450 employees, will include AS Medicum Tervishoiuteenused, Medicum Taastusravi OÜ, OÜ Medicum Dental, OÜ Koduõde and the software development company OÜ Brivera. Medicum was founded in 1986, and the group’s newest clinic was opened a year ago in the Stockmann department store.

TRINITI’s legal services included advising on the entire transaction, from planning the transaction structure to drafting and negotiating the transaction documents and the legal execution of the entire transaction.
TRINITI’s work was led by the head of the transaction team and partner Siim Maripuu, with attorney-at-law Mikk Põld playing a key role. Attorney-at-law Ain Kalme also participated in the drafting and negotiation of the agreements, and the attorneys were assisted by lawyers Peeter Paju and Janel Jan-Marcus Lohvart. Attorneys-at-law and partners Erki Vabamets and Tanel Kalaus, attorney-at-law Ramil Pärdi and patent attorney Maria Silvia Martinson also contributed to the planning and implementation of the transaction structure.
