TRINITI advised the largest Lithuanian scrap metal handler Metruna UAB in their acquisition of the Estonian and Latvian ferrous scrap metal businesses from BLRT Refonda Baltic, a BLRT Group company.
In Latvia the transaction was carried out as purchase of all shares of Refonda SIA, whereas in Estonia it took place through an acquisition of an enterprise consisting of nine different operational locations.
TRINITI Pan-Baltic team: partners Tõnis Tamme, Ugis Treilons, Ergo Blumfeldt, Ramil Pärdi, Klen Laus and senior associate Ain Kalme assisted the client in all stages of the transaction starting from the letter of intent and legal due diligence review to the negotiations of share purchase, enterprise transfer and lease agreements. Senior associate Mikk Põld advised on corporate law issues and the establishment of an Estonian subsidiary of the client – Metruna OÜ. Senior associate Sandor Elias assisted in administrative law issues as well as advised on the requirements to the transfer of waste licenses.
