Highlights of TRINITI Transport & Infrastructure practice group in 2021

2021 was a busy and productive year for the TRINITI Transport & Infrastructure Law practice group. The summary of our most important advisory projects in these sectors would be as follows:

Acquisition of a 49% holding in Xfly. The Estonian national airline (Nordica) acquired a 49 per cent holding from the Polish national airline LOT Polish Airlines in their joint venture Regional Jet OÜ (Xfly), a leading European ACMI services provider, resulting in Nordica becoming the sole shareholder of the company. We advised Nordica in contract negotiations and in closing of the transaction.

Sales and registration of a business jet. TRINITI advised the seller on the sale of Hawker 850XP Business Jet to Fort Aero AS. In addition to the contract of sale, the transaction also included the registration of the aircraft in the Estonian register, pledging the plane as security for the payment of the purchase price, and agreements on the terms and conditions for the provision of flight services of Fort Aero fleet to the seller.

Refinancing of bonds of Transpordi Varahaldus OÜ. The state-owned aviation assetco Transpordi Varahaldus OÜ (TVH) refinanced the balance of previously issued bonds with a loan from LHV Bank in the amount of 23 million euros. TRINITI advised TVH on the preparation of the contractual documentation and related negotiations as well as on making the required changes in the Estonian register of civil aircraft, existing aircraft lease agreements and other legal documents related to the transaction.

Analysis of the operation model of the electronic CMR consignment note access point (NAP). In cooperation with Civitta, a leading CEE business consulting company, TRINITI is advising the Estonian Ministry of Economic Affairs and Communications in a study that aims to analyse the development of an Estonian national central electronic road transport consignment note access point (NAP), which would function as a link between public sector authorities and service providers in the transmission of electronic freight information. As a result of the work, the state will be able to make a decision on the functional and technical structure of the future NAP service.

Water management matters. TRINITI Transport & Infrastructure working group continued to advise several local municipalities, organisations and regional water undertakings on various matters related to water management and water infrastructure (incl. investments, preparation of the development plan for the public water supply and sewerage system, possible further consolidation of Estonian water companies, etc.).

Rail Baltica procurement disputes. TRINITI successfully represented Rail Baltic Estonia OÜ in two disputes over the results of the public procurement for works on Ülemiste-Kangru gas pipeline crossings.
