We advised Omner Invest OÜ, a shareholder of Sürgavere Põllumajanduse OÜ, on the sale of its majority shareholding.
Our responsibilities included advising the client on structuring the transaction, negotiating the transaction documents, and organizing the adoption of the corporate legal decisions required for the deal. The transaction was advised by attorneys-at-law Siim Maripuu and Mikk Põld, assisted by lawyer Janel Jan-Marcus Lohvart.
The buyer was Bioforce Agri OÜ, a subsidiary of Bioforce Group OÜ. Bioforce is an Estonian energy and environmental company involved in the development, construction, and operation of biomethane plants and compressed gas filling stations in the Baltics, contributing to a greener and cleaner environment. The acquisition of Sürgavere aligns with Bioforce’s long-term plans to significantly contribute to the development of rural areas and to advance biogas projects in Viljandi County.
The seller was a holding company owned by long-time agricultural leader Tõnu Rahula. Sürgavere Põllumajanduse OÜ is an agricultural company operating in the Põhja-Sakala municipality, managing around 1,000 cattle in a modern farm complex and cultivating over 1,000 hectares of farmland.
