TRINITI’s Estonian and Latvian transaction teams advised Amserv Group AS and its Latvian subsidiaries on the sale of two car dealerships – Amserv Krasta (in Riga) and Amserv Liepāja – to Net Lease for Future Fund. As part of the transaction, Amserv retained long-term operational control of the properties under a sale-and-leaseback structure.
Amserv is a leading automotive retail group in the Baltics, representing well-known brands such as Toyota, Lexus, Opel and Peugeot. The transaction enabled Amserv to unlock capital tied up in real estate while ensuring continued operations at the dealership locations under long-term lease agreements.
The buyer was a new real estate investment fund focused on Central and Eastern Europe, managed by Nuve Partners, specialising in commercial properties under long-term lease contracts.
TRINITI acted as legal counsel to the seller throughout the transaction process. Our services included full legal project management and negotiation of the transaction documents with the buyer, as well as coordination of all real estate and corporate actions under both Estonian and Latvian law.
