We assisted the startup “Biomatter Designs” to successfully raise and structure significant investments from the Finnish fund “Inventure” and the German venture capital investor “UVC Partners”. These investors specialize in financing early-stage and Series A startups. The €6.5 million investment round also included contributions from existing investors, such as the Lithuanian venture capital fund “Practica Capital”, Estonian investor “Metaplanet Holdings”, business angels, and industry experts.

Founded in 2018, “Biomatter Designs” has quickly become one of the most promising biotechnology companies in Lithuania. Utilizing artificial intelligence, the company develops innovative, non-naturally occurring enzymes with a wide range of applications, from food production to sustainable solutions in the chemical industry. Following a successful initial phase of research and technological validation, this investment round will enable the company to transition into an active commercialization phase.

TRINITI JUREX legal team participated throughout the entire investment process, from negotiating the term sheet to the closing of this investment round. We advised on the share capital structure, the issuance of new preference shares, the integration of previous investments into the transaction, tax, intellectual property, labor relations, options and other issues. Perhaps one of the most interesting elements of the transaction from a legal perspective was the new (subsequent) issue of different classes of shares, taking advantage of the new amendment to the Law on Companies of the Republic of Lithuania. This is one of the first attempts of its kind in Lithuania, providing investors with even more security compared to the previous regulation. Valuable lessons have been learnt and practices have started to emerge that will help to make the investment process even faster and more optimal in the future.
