TechX Technologies Inc. (OTC: TECXF) entered into a share purchase agreement to acquire a 100% interest in Mobilum OÜ for C$16,000,000. TRINITI advised Parnassus OÜ in selling software copyrights to Embarcadero

TRINITI advised Parnassus OÜ in selling certain software copyrights to Embarcadero Technologies, Inc., an American software house. Our assignment included negotiating the terms of the copyright assignment agreement with regard to the scope of rights to be transferred to the purchaser, and to the distribution of tax risks arising out of the cross-border sale of intellectual property rights. The components developed by our client shall become part of RAD Studio, Delphi, and C++Builder, a well-known IDE for rapid application development of cross-platform software.

Creating an innovative software licensing solution for SpectX

We advised SpectX in creating the general licensing terms for their software and a technological solution that enables the client to enter special terms of the license into a cryptographically secured key file. The innovativeness of the solution lies in the fact that a single key file can contain both machine-readable special terms (e.g. the term of the license) and human-readable ones (e.g. a clause, according to which the software may only be used for teaching or scientific research purposes). An agreement made in this way makes it easier to ensure the lawfulness of software usage. Read more

Estonian Environmental Research Centre acquired rights to air quality system from Swedish Meteorological and Hydrological Institute

We advised Estonian Environmental Research Centre in acquisition of IP rights in Airviro air quality management system. Estonian Environmental Research Centre replaced the former co-operation partner Swedish Meteorological and Hydrological Institute among the owners of the Airviro system and  continues to develop the Airviro software in co-operation with Apertum IT AB as software and commercial partner
