The Estonian national airline Nordic Aviation Group (Nordica) and the Polish national carrier Polskie Linie Lotnicze LOT S.A (LOT) reached an agreement to end their joint venture in Regional Jet OÜ (Xfly). Nordica purchased LOT’s 49% share in Xfly, a leading European ACMI-services provider, after which Nordica became its sole shareholder. TRINITI transport & infrastructure legal team – partner Tõnis Tamme and senior associate Ain Kalme, advised Nordica in the contract negotiations and assisted with the closing of the transaction.

Tiniti Estonia assisted Smartlynx Airlines Estonia OÜ to lease three Airbus A320-200 passenger aircrafts and register the aircrafts in Estonian civil aircraft register.
LOT Polish Airlines acquired 49% of the share capital of Regional Jet Ltd, until now entirely owned by the Estonian national carrier AS Nordic Aviation Group which operates under the NORDICA brand. TRINITI legal team advised Nordica in the share sales and shareholder agreements negotiation, merger control procedures and closing of the transaction.
TRINITI assisted the Estonian flag carrier – AS Estonian Air to set up a new subsidiary named AS Nordic Flyways, which will provide shorter European routes for larger airlines using the available flight capacity of Estonian Air
TRINITI performed the assessment of the legislative framework required for the development of the international airport in the Latvian capital Riga. A concept was developed for the acquisition of territories required for the further prospective development of the airport, and the legislative acts required for implementation of the concept were drafted. The planned investment totalled 250 M EUR
TRINITI acted as Estonian legal counsel to the national airline AS Estonian Air in the acquisition of 3 new CRJ900 NextGen regional jets from the Canadian aircraft manufacturer Bombardier Aerospace. Our lawyers dealt with the loan and lease agreement of the new aircraft, as well as with respective corporate and shareholder matters
TRINITI advised the Estonian Ministry of the Interior and the Police and Border Guard Administration in legal matters related to the construction and delivery of a new multi-purpose pollution abatement vessel by a Finnish shipyard Uudenkaupungin Työvene OY. The vessel PVL-101, named “Kindral Kurvits” after one of the founders of the Estonian Border Guard, is 63.6 m long and has patrol, SAR, fire fighting, icebreaking and pollution abatement capabilities at a cost of 34 M EUR co-financed by the European Regional Development Fund
