Sale of majority shares in Raikküla Farmer group

TRINITI advised majority shareholder and long-term manager Tõnu Rahula selling majority shares in Raikküla Farmer OÜ. The assignment included organizing the whole sales process including organizing the tender, finding potential investors, support with audits, preparation and negotiation of agreements. At the end of the process the shares of the majority shareholder were acquired by one of the minority shareholders and a grain grower in the area, Metetra OÜ.  Raikküla Farmer is among the largest agriculture companies in Estonia having a cattle of more than 2 400 bovines in very modern facilities, using more than 3 000 hectars of land, half of which is owned. Raikküla Farmer sells a little less than 10 000 tons of milk per year. The transaction also included Raikküla pig farm.

TRINITI JUREX defended the interests of a farmer - meteorological conditions may be recognized as a force majeure situation

Extreme meteorological conditions in agriculture can now be recognized as a force majeure situation. Such a decision was made by the Supreme Court of Lithuania in a case in which we represented a Lithuanian farmer against the buyer of agricultural products UAB Agrosfera.

And this is the first time in the country’s courts’ practice, when our firm’s Associate Partner Marius Tamošiūnas, Senior Associate Laimonas Stančikas and the team managed to prove that the farmer’s contract was not fulfilled due to unfavourable natural conditions, which were force majeure circumstances.

World climate change and the resulting extreme natural disasters do not bypass Lithuania. In the last few years, the country has repeatedly declared an emergency situation due to heavy rains or drought.

Until now, however, the prevailing view in agriculture has been that contract terms due to force majeure were a mere formality and it was not realistic for farmers to take advantage of these terms in the face of natural disasters. We are glad that the situation has changed and farmers have more legal opportunities to defend their interests.

This proves once again that in disputes with NLS over the lease of state land, it is possible to achieve positive results for tenants of state land. TRINITI lawyers represent Lithuanian grain growers whose harvest has been severely affected by drought in a number of civil disputes with a grain purchaser, the largest company in the Lithuanian agricultural industry,  on outstanding contracts. The cases are of significant importance, as they are creating  a case law on the conditions for relief from civil liability due to force majeure.

Sale of farm with the best cattle genetics in Estonia

TRINITI advised the shareholders organizing sale of 100% of the shares in Torma Põllumajandusosaühing, a major milk producer located in Central Estonia with the absolute best cattle genetics and highest milk production per cow in Estonia. The assignment included the whole sales process from the decision of the sellers till receipt of the purchase price – organizing the tender, finding potential investors, support with audits, preparation and negotiation of agreements as well as successfully closing the transaction

Sale of Agricultural Cooperative holding shares in farms with over 1000 dairy cows

TRINITI advised the cooperative of farmers of Jõgeva County in the sale process of all of the memberships in cooperative Vooremaa Piim. The cooperative included two major milk producers acquired by the farmers during previous joint activities located in Western Estonia with total of 1000 dairy cows and 2 500 hectaries of land. The assignment included organizing the tender, finding potential investors, support with audits, preparation and negotiation of agreements as well as closing the transaction

Sale of Õnne Dairy Farm

TRINITI led the sale process of 100% of the shares in Õnne Dairy Farm, a major milk producer located in Central Estonia with one of the most modern production facilities with capacity for over 700 dairy cows. The assignment included organizing the tender, finding potential investors, support with audits, preparation and negotiation of agreements as well as closing the transaction.
